Derek Cain is a Mergers and Acquisitions (M&A) Tax Principal and leader of PwC's Private Letter Ruling Practice for corporate and consolidated return tax matters. Derek has worked for over 25 years as a tax professional, 19 years of which as a member of PwC's WNTS M&A Tax practice. From 2002 through 2005 Derek served with the IRS as the Deputy Associate Chief Counsel Corporate Division. In this capacity, Derek reviewed almost all items of published guidance issued by the Corporate Division and advised what is now known as the IRS's Large Business and International Division on matters in litigation before the Tax Court. In addition, Derek served as a member of the Corporate Division's Section 355 Committee that was charged with guiding the division's private letter ruling program related to spin offs.
Derek has consulted on public, closely held, and intra group spin-off transactions, public and private acquisitions, stock offerings, corporate restructurings, and consolidated return matters. In the last five years, Derek has led engagements involving a number of cutting edge spin-off planning including a number of Reverse Morris Trust transactions and spin followed by SPAC combinations. Since returning from the IRS in 2005, Derek has led the Private Letter Ruling Practice for PwC's M&A clients.
